Terms and conditions

 The www.paklaunch.com website, associated social media accounts and applications (Platform) are operated by Paklaunch (Private) Limited, a private limited company registered in Pakistan (hereinafter referred to as Paklaunch, We, Us or Our).

These terms and conditions govern your use of the Platform (Terms).

By using the Platform or interacting with it in any form or manner, you acknowledge and agree to be bound by these Terms. You acknowledge and agree that that Paklaunch reserves the right, in its sole discretion, to modify these Terms at any time without prior notice and that your continued interaction with the Platform would be sufficient acknowledgment of your acceptance of such amendments to the Terms. If any material changes are made to the Terms, Paklaunch will aim to notify you as soon as possible if you have registered on the Platform and provided a valid email address.

You should read these Terms carefully before using the Platform and your use of or interaction with the Platform in any manner indicates your acceptance of the Terms. If you do not agree with the Terms, you must not use or interact with the Platform. You acknowledge and agree that the Terms shall be enforceable by Paklaunch against you in the same manner as a written agreement between you and Paklaunch.

You acknowledge and agree that you have the capacity, due authority and right to accept these Terms on your behalf and that of any entity that you may represent in relation to your used of the Platform and that such use shall not be in breach of any contractual terms or laws that may be applicable to you or to an entity being represented by you.

Paklaunch Platform

The Platform serves as a conduit for investors, start-ups and professionals (whether as mentors, service providers or employment seekers) to create awareness of their respective interests, objectives and achievements, build new connections in the growing start-up ecosystem in Pakistan and share relevant experiences with the Paklaunch community.

The Platform does not provide professional investment or employment advice or investment management or manpower recruitment related services. The Platform is also not an advertising or marketing tool or interface.

You acknowledge and agree that the Platform is not an investment portal and that any decision by users registered on the Platform to invest in a start-up or to receive investment by a start-up shall be the individual decision of each party which must be taken after proper due diligence and with professional advice regarding the legal and financial risks associated with such decision and independent of the operations of the Platform.

You acknowledge and agree that the Platform is not a recruitment services provider and that each prospective employee or employer using the Platform to identify potential

employers or employees shall do so on their own at their risk and conduct necessary due diligence on the other party.

You acknowledge and agree that you will note use the Platform for any purpose or in any manner that would be considered illegal under the laws of Pakistan. If you access the Platform from outside Pakistan, you do so at your own risk and must consider the laws and regulations of the location from which you are accessing the Platform.

Registered Users

 You can use and access the Platform as a registered user or, in a limited form, as an unregistered user. If you register an account on the Platform, you agree and undertake to submit complete and accurate information about yourself and any entity that you seek to highlight on the Platform.

Information

 You acknowledge and confirm that you will not share any information on the Platform that should not be posted on the Platform under the laws of Pakistan (or the laws of the country of your incorporation).

You acknowledge and agree that you will not share any information on the Platform that could cause reputational or economic damage or harm of Paklaunch or any other registered user or any other party.

You acknowledge and agree that the information posted on the Platform by other users or any external information or links cited by the Platform is not the responsibility of the Platform and that you will exercise due care in accessing such information and using or accessing external links or websites that may be mentioned by the Platform or a user and shall do so entirely at your own risk and based on your own judgment and decision.

You agree that the information on the Platform is provided on a ‘as is’ and ‘as available’ basis without any explicit or implied warranties or representations by Paklaunch except as may be specifically mentioned in writing.

The Platform or Paklaunch does not undertake any independent verification of registered users, whether they are investors, start-ups or professionals or the information provided by them and it shall be your responsibility to undertake any required legal, financial, technical or reputational due diligence in relation to another registered user if you wish to interact with such user.

You acknowledge and agree that the information contained on the Platform is provided for general information only and should not be used for making investment or employment decisions which should only be made after taking proper professional advice from your advisors. Paklaunch makes no representation or warranty, whether express, implied or statutory regarding the information available on the Platform.

Registration requirements

 If registering as an investor on the Platform, you undertake and confirm that you are allowed, under applicable laws, to share your information on the Platform and interact with other users on the Platform without being in breach of any laws applicable to your country of incorporation and Pakistan. Paklaunch may at any time, in its complete discretion, restrict the registration of an investor to users meeting a certain criterion to be notified by Paklaunch from time to time.

If registering as a start-up on the Platform, you undertake and confirm that you are allowed, under applicable laws, to share your information on the Platform and interact with other users on the Platform without being in breach of any laws applicable to your country of incorporation and Pakistan. Paklaunch may at any time, in its complete discretion, restrict the registration of start-ups to only those meeting a certain criterion to be notified by Paklaunch from time to time.

If registering as a professional on the Platform, you undertake and confirm that you are allowed, under applicable laws, to share your information on the Platform and interact with other users on the Platform without being in breach of any applicable laws. Paklaunch may at any time, in its complete discretion, restrict the registration of professionals to only those meeting a certain criterion to be notified by Paklaunch from time to time.

Additional services and features

 Paklaunch may introduce additional services or features in relation to the Platform and you acknowledge and agree to accept any amendments to the Terms in this respect.

Harassment & Inappropriate Behaviour

 Paklaunch is committed to providing a community environment that is free from all forms of discrimination and conduct that can be considered harassing, coercive, or disruptive, including sexual harassment.

Actions, words, jokes, or comments based on an individual’s sex, race, color, national origin, age, religion, disability, sexual orientation, gender identity, or any other legally protected characteristic will not be tolerated.

Such conduct is strictly prohibited within the Paklaunch community and may result in disciplinary action, up to and including exclusion from the Paklaunch community platforms or even legal action.

As a community, our shared values of tolerance, respect, cooperation and commitment must be reflected in our interactions with each other.

Members of the Paklaunch community are expected to respect cultures, opinions and thinking that differ from their own. Some offensive behaviour can also be viewed as harassment or discrimination.

Additional terms and conditions

 You acknowledge and agree that you may be required to agree to additional terms and conditions for the use of the Platform or in connection with certain specific features of the Platform.

Intellectual Property

 You acknowledge and agree that any and all intellectual property, whether registered or not, used or published on the Platform in any form, is the sole ownership of Paklaunch and that you or any other party shall have no right to use such intellectual property without the prior written permission of Paklaunch.

In relation to any information submitted by you to the Platform or Paklaunch, you hereby grant to Paklaunch a worldwide, royalty-free, perpetual, irrevocable, sub-licensable right and license to use such information or material for any purpose it deems appropriate, including without limitation, the copying, modification, transmission, distribution and publication thereof, unless restricted by applicable law. You represent and warrant that such information submitted by you does not infringe the rights of any other third party.

Notifications and emails

 You acknowledge and agree that if you have registered on the Platform and provided an email address, Paklaunch can send you emails, notifications and electronic newsletters and other material related to the Platform’s activities on that email address. If you wish to stop receiving such emails, then you can follow the process mentioned in such emails or the link provided therein to unsubscribe from the Platform’s mailing list.

Privacy Policy

 You acknowledge and agree that your use of the Platform is subject to the Platform’s privacy policy which is an integral part of the Terms and is available at: https://paklaunch.com/privacy-policy/

No agency or partnership

 You acknowledge and agree that nothing mentioned on the Platform creates any agency, partnership, employment or other relationship between PakLaunch or you or any other user of the Platform.

You acknowledge that any posts by the Platform regarding any investor, start-up or professional are for the purposes of creating awareness and no post is an endorsement by

Paklaunch and that each party must conduct their own independent verification and due diligence before relying upon the information for any purpose.

Limitation of liability and indemnity

 Paklaunch shall not be liable for any act or omission by you or any other user of the Platform.

You agree that Paklaunch does not accept any liability for any loss of damage (including any special, incidental or consequential loss or damage) arising directly or indirectly from your or another party’s use of the Platform in any manner whatsoever.

You agree and undertake to indemnify and hold Paklaunch harmless from any actions, claims, demands, suits, penalties, fines, costs, interest and other expenses (including legal fees and any administrative or dispute resolution costs) arising from or in connection with your use of the Platform or as a result of any breach of the Terms or applicable laws by you.

Severability and no waiver

 Every effort has been made to ensure that each provision of the Terms is in accordance with the applicable laws. However, the invalidity or unenforceability of any part of the Terms shall not prejudice or affect the validity or enforceability of the remainder of the Terms.

Any delay by Paklaunch in exercising or non-exercise of any right or remedy by Paklaunch shall not constitute a waiver of that right or remedy, or any other right or remedy.

Termination

 You acknowledge that Paklaunch, at its sole discretion, may terminate this arrangement, your access to the Platform or any feature or service offered by the Platform without assigning any reasons and without providing any notice.

If such termination is a result of a breach by you of the Terms or applicable laws, then Paklaunch reserves the right to commence legal proceedings against you as well.

Governing law and dispute resolution

 The Terms shall be governed by the laws of Pakistan.

Any dispute arising from or in connection with the Terms shall first be notified to Paklaunch on [email protected] or by Paklaunch through this email address and the aggrieved parties shall, in the first instance, attempt to resolve such disputes or differences through amicable discussions within 15 days from the date on which such dispute is notified to Paklaunch or notified to a party by Paklaunch.

If the parties to a dispute are unable to resolve the dispute amicably within the above- mentioned period then the dispute shall be finally resolved by arbitration by a sole arbitrator under the Arbitration Act 1940 of Pakistan.

Nothing mentioned herein shall prevent Paklaunch from seeking an interim injunction or similar relief from the Courts in Pakistan or any other jurisdiction.

 Thank you for using PakLaunch. This privacy policy (hereinafter “Policy“) applies to your use of the website www.paklaunch.com (hereinafter “Website”) The Policy is intended to inform you about how we collect and use information so you can make an informed decision about using the Website. Please read it carefully before using the Website or submitting any information to us. If you do not agree to any part of this Policy, then you should stop accessing the Website immediately.

This Policy does not apply to information collected in any other way, including offline.

This Website may contain links to services maintained by others. This Policy does not reflect the privacy practices of those services offered by third-parties.

The Policy may change as a result of changes to the Website and the content. 1.1. We may also use the information you provide to offer you services that we believe may be of interest to you. You may choose not to receive such offers and communications from us when you register. You may also opt out or unsubscribe.

1.3. If you submit your information, know that:

-It must be accurate, complete, and current. It may be distributed to third parties in multiple formats (including online), and you will not be compensated by in any way for its use.

-By submitting the information on our Website, you consent to the review of such information by our team members and by those who assist us in the provision of any services to the users of our Website. We may take steps to inform all such people that such information should be treated as being confidential and should not be shared with anyone (unless required for the provision of any requested service).

1.4. If you choose to provide us with personal information, you consent to the transfer and storage of that information on our servers.

2. How We May Use Your Personal Information

2.1. You consent and agree to provide us with information when you sign up to PakLaunch. PakLaunch will also collect information from all of it users about their use of the Website. Any information on users or their use of the Website is subject to the PakLaunch Privacy Policy. By using PakLaunch, you consent to use of that information and warrant that all information provided by you is accurate.

2.2. We use information other than Personal Information, including aggregated or anonymized information, for ad targeting, to analyse trends, administer our services, diagnose problems with our servers, track user movement and gather demographic information for aggregate use. Third party ad platforms may use this information for a similar purpose, but you should follow up with third parties and confirm their information collection and usage practices directly. We may freely publish, disclose and use information other than Personal Information, including aggregated or anonymised Personal Information, to or with third parties.

2.3. We may use your personal information to help us improve our services and getting in touch with you. PakLaunch understands your privacy needs and will not sell, trade, or share personal information collected online from Users with third parties. All personal information collected by PakLaunch will only be used internally and exclusively within our team.

2.4. In the event that we engage with third party service providers in connection with our Website, PakLaunch may share Personal Information with such service providers who need access to such information to carry out their work for PakLaunch. Other than such service providers, PakLaunch does not share Personal Information with third parties unless (1) You have indicated to us that you wish to receive information from such parties; (2) You otherwise give us your consent to do so; or (3) in response to a request for information.

3. Transfers of Information

3.1. Information about our users, including Personal Information, may be disclosed as part of any merger, acquisition, debt financing, sale of company assets, as well as in the event of an insolvency, bankruptcy or receivership in which Personal Information could be transferred to third parties as one of our business assets. In such an event, PakLaunch will attempt to notify you before your Personal Information is transferred, but you may not have the right to opt out of any such transfer.

4. Cookies

4.1. The user is aware that a ‘Cookie’ is a small piece of information stored by a web server on a web browser so it can later be traced back from that particular browser, and that cookies are useful for enabling the browser to remember information specific to a given user, including but not limited to a user’s login identification, password, etc.

4.2. The user is further aware that if they leave a comment on our Website they may opt-in to saving their name, email address and website in cookies. These are for your convenience so that you do not have to fill in your details again when you leave another comment. These cookies will last for one year.

4.3. If you visit our login page, we will set a temporary cookie to determine if your browser accepts cookies. This cookie contains no personal data and is discarded when you close your browser.

4.4. When you log in, we will also set up several cookies to save your login information and your screen display choices. Login cookies last for two days, and screen options cookies last for a year. If you select “Remember Me”, your login will persist for two weeks. If you log out of your account, the login cookies will be removed.

5. Comments

5.1. When users leave comments on the Website, we collect the data shown in the comments form, and the users IP address and browser user agent string to help spam detection.

6. Embedded Content From Other Websites

6.1. Articles on this Site may include embedded content (e.g. videos, images, articles, etc.). Embedded content from other websites behaves in the exact same way as if the User has visited the other website.

6.2. These websites may collect data about you, use cookies, embed additional third-party tracking, and monitor your interaction with that embedded content, including tracking your interaction with the embedded content if you have an account and are logged in to that website.

7. How Long We Retain Your Data

7.1. If you leave a comment, the comment and its metadata are retained indefinitely. This is so we can recognize and approve any follow-up comments automatically instead of holding them in a moderation queue.

7.2. For users that register on our website, we also store the personal information they provide in their user profile. All users can see, edit, or delete their personal information at any time (except they cannot change their username). Website administrators can also see and edit that information.

8. Security Measures

8.1. PakLaunch endeavours to secure your Personal Information from unauthorized access, use or disclosure by putting into place reasonable physical, electronic and managerial procedures to safeguard the information we collect. Additionally, your account information is accessible online only through the use of a password.

8.2. No security measures are perfect or impenetrable. To protect the confidentiality of your Personal Information, you must keep your password confidential and not disclose it to any other person. You are responsible for all use of the Website by any person using your password. Please contact us immediately by emailing us if you believe your password has been misused. You should also note that email is not secure, and you should not send any confidential or sensitive information to us via an unsecured email.

9. Lawful Use Only

9.1. The user will not publish, upload, submit or distribute any posted materials on PakLaunch Website which are unlawful, deceptive, misleading, or abusive in any way, including but not limited to posted materials that are defamatory, blasphemous, libellous, obscene, threatening, indecent, invasive of privacy or publicity rights, hateful, or would constitute or encourage a criminal offense, violate the rights of any party, contain any corrupted data or malicious code that may impair or alter the appearance or functionality of PakLaunch, or give rise to liability or violate any local, state, federal or international law or regulation.

9.2. On certain sections of the PakLaunch Website, posted materials submitted for publication on will be accompanied by User’s name and shall not be submitted anonymously. User warrants that such posted materials will not misrepresent or obscure his or her identity or affiliation with any person or entity. Furthermore, the user warrants that it will not, by any method or action, directly or through a third party seek to artificially enhance, degrade, or otherwise manipulate the recommendations or endorsements of any user, individual, or group on PakLaunch including user’s own.

10. Your Rights

10.1. If you have an account on this Website, or have left comments, you can request to receive an exported file of the personal data we hold about you, including any data you have provided to us. You can also request that we erase any personal data we hold about you. This does not include any data we are obliged to keep for administrative, legal, or security purposes.

11. Children

11.1. Our Website is not intended for use by children under the age of 18, and such use is prohibited by our Terms and Conditions. We do not knowingly collect Personal Information from children under the age of18. If you become aware that a child has provided us with Personal Information, please contact us as set forth in this Policy.
